Twitter would have to pay if it signed a deal with another suitor. Mr. Musk would have to pay if his financing falls apart.

Musk is definitely trying to back out. Coming up with excuses like there’s bots on the site, etc. when he knew quite well bots existed before he said he’d buy it.

He was all in until he saw what's happening with Twitter and their algorithm, inflating and deflating followers of certain group of people, depending on their political views. Even Twitter's own report that spam/fake/bot accounts are less than 5%. Elon believe it's way more than what was reported and he's not going to pay overprice for a worthless media.
He's not out of it yet... it's on hold until the truth comes out.
